Terms and Conditions

We value your trust in Tokyo Wonder Box (hereinafter TWB).  In order to enable us to maintain trust, please read these Terms and Conditions carefully and thoroughly.  By using our services (“services”) or accessing our website (“site”), you agree to the following Terms of Service (“terms”).  If you do not agree to these terms, please do not use the services or site of TWB.  TWB reserves the right to revise these terms at any time by updating this site.

Agreement between You and TWB

These terms of use together with the privacy policy constitute a legal and binding agreement between you and TWB incorporated under the laws of Japan.  This agreement (“agreement”) provides the terms that govern your access to use TWB’s website https://tokyowonderbox.com/, hereinafter referred to as the “portal.”

By accessing the portal, you understand and agree that the agreement forms a binding contract between TWB and anyone who accesses or browses the portal in any manner (“user”). Accordingly, you agree to be bound by the terms contained in the agreement.  If you do not agree to the terms, you are advised not to proceed.  The terms shall be accepted without modification.

Terms and Conditions Applicable to Users

Users must be 18 years or older to register, visit, or use the services in any manner.  By registering, visiting, or using the services, you represent and warrant to TWB that you are 18 years or older and have the right, authority, and capacity to use the services and agree to abide by the agreement.  If a user is below 18 years, it is assumed that he/she is using/browsing the platform under the supervision of his/her parent or legal guardian and that such user’s parent or legal guardian has read and agrees to the terms of this agreement on behalf of the minor user.  

The Agreement is governed and construed in accordance with the laws of Japan.

Please check for allergens in snacks and beverages by yourself and ask for help of ingredients to us or manufacturer.

The contents of the services, information, text, graphics, images, logos, button icons, software code, interface, design and the collection, arrangement, and assembly of the content on the platform or any of the other services are the property of TWB and are protected under copyright, trademark, and other applicable laws.

TWB authorizes you to view and access our content solely for identifying, browsing, or checking details of the products.  TWB grants you a limited, revocable permission to access and use the services.  This permission does not include permission for carrying out any sale of the products or commercial use of the TWB content, any collection and use of product listings, description, or prices, or any derivative use of the platform or of TWB Content.

In order to assist the users in identifying the products of their choice, TWB provides visual representations on the platform, including graphics, illustrations, photographs, images, videos, charts, screenshots, infographics, and other visual aids.  While reasonable efforts are made to provide accurate visual representations, TWB disclaims any guarantee or warranty of the exactness of such visual representation or description of the products with the actual product ultimately delivered to users.  The appearance and content of the product when delivered may vary for various reasons.

All rights and liabilities of TWB with respect to any services to be provided by it shall be restricted to the scope of the agreement.  In addition to the agreement, you shall also ensure that you are in compliance with the terms and conditions of the third-parties whose links are contained/embedded in the services.  It is hereby clarified that TWB shall not be held liable for any transaction between you and any such third-parties.

TWB may, at any time and without having to service any prior notice to you, update the services or a part of the services in a manner it may deem fit, and change the contents of the agreement in substance, procedure, or otherwise. In each case, the changes will be applicable to all users.  You hereby agree that this is in the fairness of things given the nature of the business and its operations, and you will abide by them.  As such, you must keep yourself updated at all times and review the terms of the agreement from time to time.  Such changes shall be made applicable when they are posted.  TWB may also change or delete any content from the platform without notice.

While TWB shall make reasonable efforts to maintain high standards of the services and security, TWB shall not be liable for any interruption that may be caused to your access or use of the services.  The services included on or otherwise made available to the users through the platform are provided on an “as is” and “as available” basis without any representations or warranties, express or implied, except if otherwise specified in writing.  TWB does not covenant or warrant that:

・ the services will be made available at all times;

・ the TWB content available on the platform is complete, true, accurate, or non-misleading; and

・ the products are of specified merchantability, merchantable quality, and fit for use for a particular purpose.

・ the products are safe or harm your health conditions.

User Covenants and Obligations

TWB informs you that you are prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, updating, or sharing any information that:

• belongs to another person and to which you do not have any rights;
• is grossly harmful, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise harmful in any manner whatsoever;
• harms minors in any way;
• infringes any patent, trademark, copyright, or other proprietary rights;
• violates any law for the time being in force;
• deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
• impersonates or defames another person; or
• contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer resource.

You are also prohibited from:

• violating or attempting to violate the integrity or security of the platform or the TWB content;
• transmitting any information on or through the platform that is disruptive or competitive to the provision of services by TWB;
• intentionally submitting false or inaccurate information on the platform;
• using any engine, software, tool, agent, or other mechanism (such as spiders, robots, avatars, worms, time bombs, Easter eggs, cancel bots, intelligent agents, etc.) to navigate or search the platform;
• attempting to decipher, decompile, disassemble, or reverse engineer any part of the platform; or
• copying or duplicating in any manner any of the TWB content.

You are also obligated to:

• refrain from acquiring any ownership rights by downloading the TWB Content;
• read the agreement and agree to accept the terms and conditions set out therein;
• refrain from copying or modifying the TWB content available on the platform for any purpose;
• comply with all applicable laws in connection with your use of the platform;
• not refuse the delivery of purchased products except when damages and deficiencies can be identified upfront at the time of delivery; and
• use the products for personal and non-commercial use.

You hereby authorize TWB to declare and provide declarations to any governmental authority on request on your behalf, including that the products ordered by you are for personal and non-commercial use.

Intellectual Property Rights

All the intellectual property used on the platform by TWB, including the TWB content, shall remain the property of TWB or of any third-party hosting such intellectual property on the platform.  Except as provided in the agreement, the materials may not be modified, copied, reproduced, distributed, republished, downloaded, displayed, sold, compiled, posted, or transmitted in any form by any means, including but not limited to electronic, mechanical, photocopying, recording or other means, without the prior express written permission of TWB or any third-party hosting such material on the platform.

If you believe that your intellectual property rights have been used in a way that raises concerns of infringement, please write to us at i n f o @b i z - c h a n g e . j p and let us know of your concerns.

Unlawful or Prohibited Use

You warrant to TWB that you will comply with all applicable laws, statutes, ordinances, and regulations regarding the use of the services and any other related activities.  You further warrant that you will not use the platform in any way prohibited by terms contained in the agreement or under applicable law.

Subscription Contract

You accept responsibility for all recurring payment prior to cancellation when you purchase a subscription on TWB.  Your subscription will be automatically renewed for successive periods at the then-current subscription rate.  You must use the form on the site to cancel your subscription at least 72 hours prior to your next scheduled renewal date in order to avoid the payment.You can also cancel your subscription online from the customer portal. Your subscriptions are extended on the same date as you sign up.  Any changes in your subscription will be applied on the next renewal date.  You can use your subscription until the end of your current subscription term when you cancel.TWB may submit monthly charges without further authorization from you until you provide prior notice that you have terminated this authorization or wish to change your payment method within the 72-hour notice requirement in monthly contract case.If you cancel your subscription, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.  TWB have the right to change any contents of the services with or without advanced notice to subscribers.We also have the right to cancel your subscription at any time.

Shipping 

We recommend covering your boxes with insurance with a trackable shipping option.  Boxes that are stolen can be replaced if evidence is provided from the shipping company showing that they acknowledge that the box has been stolen or misplaced.  Damaged boxes due to natural disasters i.e. fires, floods, hurricanes, etc, or due to mishandling by your local courier can be also replaced.

Please note, boxes that are not received due to an incorrect shipping address or that are intentionally declined by the subscriber are not eligible for replacement.

Even if your box arrives safely and physically intact, one or more of the items listed inside the included booklet might be missing.  When your box arrives safely and physically intact with all items listed in the booklet included, one or more of the items might be damaged, or expired in the case of perishable items.  All missing or damaged items must be reported within 7 days after you receive your box to qualify for either a replacement or refund based on product availability.  If the missing product is available, a replacement will be shipped, and a refund will not be considered.  You are required to include the evidence outlined below when you submit a report in order for our support team to expedite a resolution:

・ Pictures of all sides of the box (applies to both missing and damaged item cases)

・ Pictures of all items received in the box (applies to both missing and damaged item cases)

・ Pictures of individual items, clearing showing the damage in question (applies to damaged item cases)

Damaged items will then be reviewed by a support agent, and a replacement or refund will be issued only for damaged products. This does not cover or include damage to the packaging of said item.  Blemishes to packaging will not be considered as part of a damaged item.

Returned Boxes Policy - Returned boxes will be reshipped with an additional re-shipping fee unless the box has been returned due to our own mistake.  Boxes that have been returned due to an incorrect shipping address/incomplete shipping address are not eligible for refunds.

This policy can be updated at any time without prior notice and is applicable immediately and retroactively for all subscriptions and subscribers.

Liability

TWB shall, at no point, be held liable or responsible for any representations or warranties in relation to the products.

TWB does not provide or make any representation, warranty, or guarantee, express or implied, about the platform, products, or services, and all implied warranties under law or contract are, to the maximum extent possible, hereby disclaimed.

All TWB products should be received and stored as recommended within the box.  You are solely responsible for the proper and safe use and consumption of the products you receive from us.  You are also solely responsible for knowing about any food allergies you may have and verifying the products and their contents before using or consuming such products. If you have any allergies ,please contact us before using or consuming.

TWB has no liability for injury or damage caused by products you receive from us.  Such liability is the sole responsibility of the product brand or manufacturer. 

Indemnity

You hereby agree to indemnify and hold harmless TWB, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all claims, losses, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the services or products, violation of the agreement, infringement of any intellectual property or other right of any person or entity.  TWB shall notify you promptly of such claim, loss, liability, or demand. In addition to your foregoing obligations, you agree to provide TWB with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.

Severability

If any provision of the agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision, and the remaining part of such provision and all other provisions of the agreement shall continue to be in full force and effect.

Term and Termination

The agreement will remain in full force and effect while you use any service in any form or capacity.  TWB reserves the right to terminate its services provided to you in the event of a breach of any terms contained in the agreement, misrepresentation of information, any unlawful activity, or if TWB is unable to verify or authenticate any information you submit to it.  The user may terminate the agreement at any time, provided that the user discontinues any further use of the platform or services.  Any provision of the agreement which imposes an obligation or creates a right that by its nature will be valid after the termination or expiration of the agreement shall survive the termination or expiration of the agreement.

Dispute Resolution and Governing Law

The agreement and any contractual obligation between TWB and you under the agreement shall be governed and construed by the laws of Japan.  All disputes will be subject to arbitration in Tokyo, Japan in accordance with the law and regulations.  The arbitration proceedings shall be conducted in the Japanese language.  Arbitration awards shall be reasoned awards, final and binding on TWB and the disputing user, and enforceable in any court of competent jurisdiction.

Waiver

TWB’s failure to enforce any provision of the agreement or respond to a breach by a user or users shall in no way imply a waiver of TWB’s right to subsequently enforce any provision of the terms of the agreement or to act with respect to similar breaches by a user or users.

Notices

All notices and communications shall be in writing, in Japanese. They shall be deemed given if delivered personally or by commercial messenger or courier service, or mailed by registered or certified mail (return receipt requested), or sent by email, with due acknowledgment or complete transmission to the following address:
